For all types of companies, our investment banking professionals can provide full, expert advisory and transaction services for:
Mergers & Acquisitions
Whether your company is publicly traded or privately held, our team can provide comprehensive services for all types of merger & acquisition transactions. We effectively manage every aspect of transactions for:
- Family business owners selling their business.
- Public & private companies divesting divisions or subsidiaries.
- Public & private companies acquiring other companies or divisions.
- Public companies merging with other public companies.
- Partnerships & private equity firms selling ownership positions in investments.
More than full services, we provide unique perspectives and dimensions in our service. We have owned companies; we’ve been CEOs and CFOs. We know first-hand the pressures clients face, and make relieving those pressures a principal role and function — allowing clients to focus on day-to-day operations while our team discreetly handles corporate finance processes in parallel. In this way, we work to ensure value maximization by both reaching capital markets effectively and maintaining strong client company performance.
Public Offerings
Working in conjunction with the institutional sales, retail sales and public research groups at Boenning & Scattergood, we can help publicly traded companies effectively raise capital through a full range of public offerings and services.
As an established broker-dealer, the firm has extensive retail and institutional distribution networks for public equity and debt securities. These wide-ranging channels, combined with the structuring and execution capabilities of our investment banking professionals, give public companies access to a variety of financing alternatives. The firm has successfully underwritten initial public offerings (IPOs), secondary offerings, rights offerings, PIPEs and SPAC transactions.
Private Placements & Recapitalizations
For privately held companies, we specialize in arranging private placements of equity and debt securities.
The firm’s deep relationship with the private equity and venture capital communities, institutional investors, commercial banks and finance companies provides an array of sources for equity, mezzanine and senior debt. Transaction expertise includes funding for growth and acquisitions; restructuring or refinancing existing debt; and recapitalizations associated with ownership transition and/or liquidity.
Growth in the private equity marketplace has made recapitalizations a growing solution for many companies. Through these transactions, companies can monetize a portion of the ownership and obtain capital, while often affording the opportunity for the principals to both retain ownership interests and remain an integral part of the management of the enterprise.
Management Buyouts
Our professionals have considerable experience arranging, structuring and financing buyouts on behalf of management teams. We work closely with MBO clients to develop structures which balance shareholder return and liquidity requirements of the parent company with interests of the management team undertaking the buyout.
In working with management teams, we draw on practical knowledge and understanding of the delicate balance required in the purchase of a division, subsidiary or line of business. Members of our team have closed on management buyouts both as company principals and investment bankers — a combination of direct experience and advisory work unique among middle-market investment banking firms.
If you’re exploring management buyout options, we welcome the opportunity to talk with you on a strictly confidential basis.
Fairness Opinions
Our investment banking group is a leading provider of fairness opinions for Boards of Directors of small- to mid-cap companies nationwide. We have prepared over 100 fairness opinions for companies in a broad range of sectors, and also offer valuations and opinions to mutual institutions contemplating conversion to stock ownership.
We form our opinions by thoroughly examining each transaction and its potential financial impact on shareholders. Analyses are performed using the latest industry standards and careful attention to details. We have experience with SEC reviews and legal challenges of opinions, and to date we have not had one of our opinions overturned.
While the nature of transactions may vary, the need for reliable fairness opinions doesn’t, and we welcome opportunities to provide them.
